1. Service

  • Service — the JPXL Records software platform available at dashboard.jpxlrecords.com and related domains.
  • Operator — IE Pen'kov Andrey Sergeyevich (Registration No. 324665800000913, Tax ID 660308780887), operating under the commercial brand JPXL Records, part of JPXL Music Entertainment.
  • User — any individual or legal entity that has been granted an account and has accepted these Terms.
  • Release — a set of audio recordings, metadata, artwork and related materials submitted by a User for distribution.
  • Content — any material uploaded by a User: audio files, images, text, metadata.

2. Acceptance

  • Using the Service (signing in, uploading content, accepting terms at registration) constitutes full and unconditional acceptance of these Terms.
  • If a User does not agree with these Terms, they must immediately stop using the Service and notify the Operator to delete their account.
  • The Service is intended for persons aged 18 and over, or for legal entities acting through authorised representatives.

  • The Service is operated by IE Pen'kov Andrey Sergeyevich, Registration No. 324665800000913 dated 10 January 2024, Tax ID 660308780887.
  • Primary business activity: sound recording and music publishing (OKVED 59.20).
  • Official contact: JPXLRECORDS@GMAIL.COM. Place of business: Sverdlovsk Region, Russia.

4. Purpose

  • JPXL Records provides Users with access to: release upload and management, metadata delivery to aggregators, status monitoring, streaming reports, royalty balance tracking, payout requests, and communication with the label team.
  • The Service is not a public file host, social network, or general-purpose content platform.
  • Access is granted exclusively to artists, their representatives, and staff to whom the Operator has issued an account.

5. Account

  • Users must provide accurate and up-to-date information: email address, artist profile, payment details, and release information.
  • Sharing an account or login credentials with third parties without the Operator's written consent is prohibited.
  • Users are responsible for all actions taken from their account.
  • The Operator may restrict or suspend access if there is suspicion of compromise, third-party rights infringement, legal violations, or abuse of Service features — without prior notice if delay would cause harm to third parties.

6. Action logging

  • For legal certainty the Service logs: username, action date and time, IP address, document version, acceptance of terms, and the content of significant actions (release upload, rights confirmation, payout request, payment detail changes).
  • Logged data may be used by the Operator to protect its rights and resolve disputes.

7. User rights and obligations

  • Users warrant the legality of all uploaded Content: audio, artwork, lyrics, artist names, metadata, catalog codes, and external links.
  • Users confirm they hold the necessary rights or right-holder permissions to submit materials for distribution.
  • Upon receiving a complaint or claim, Users must provide documentation confirming Content rights within the timeframe specified by the Operator.
  • Prohibited: hacking, circumventing restrictions, attempting to access other users' data, automated scraping, and injecting malicious code.

8. Intellectual property

  • Rights to the design, software, databases, trademarks and other intellectual property of the Service belong to the Operator or its licensors.
  • Users retain copyright and related rights in their uploaded Content. Uploading Content does not transfer exclusive rights to the Operator beyond what is necessary to operate the Service and carry out distribution.
  • Users grant the Operator a non-exclusive, royalty-free licence to reproduce, store, transmit and display Content to the extent required to provide distribution services.
  • If JPXL Records acts as publisher of a User's works, the terms of rights management, territory and duration of publishing authority are set out in a separate publishing agreement.

9. Liability

  • The Service is provided 'as is'. The Operator does not guarantee uninterrupted or error-free operation.
  • The Operator is not liable for the actions of digital platforms, aggregators or other third parties involved in distribution.
  • The Operator is not liable for losses arising from inaccurate data provided by the User, improper use of an account, or breach of these Terms.
  • The Operator's maximum liability to a User shall not exceed the total fees actually paid by that User over the preceding three full calendar months.

10. Changes

  • The Operator may amend these Terms unilaterally.
  • The current version is published in the documents section with its effective date. If changes materially affect User rights, the Operator will send an email notice at least 7 days in advance.
  • Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

11. Termination

  • Users may stop using the Service by submitting an account deletion request to JPXLRECORDS@GMAIL.COM.
  • The Operator may terminate these Terms unilaterally for repeated breaches, giving 3 days' notice where circumstances allow.
  • After termination the Operator will complete processing of previously accepted releases and make payouts in accordance with the Payment Terms.

12. Governing law

  • These Terms are governed by the laws of the Russian Federation.
  • Disputes shall first be resolved by negotiation. The response period for a formal claim is 30 calendar days from receipt. If no agreement is reached, disputes shall be referred to the court having jurisdiction over the Operator's location or, for consumer Users, the User's place of residence, in accordance with applicable law.
